DUE TO SIGNIFICANT, CONTINUING OPERATING LOSSES, IN MARCH 2007 THE HOME ENTERED INTO AN AGREEMENT WITH REGENCY HERITAGE AND NURSING REHABILITATION CENTER, LLC ('REGENCY'), AN UNRELATED, FOR-PROFIT ENTITY WHEREBY REGENCY WILL OPERATE THE NURSING FACILITY AS A TURNKEY OPERATION FOR A MINIMUM PERIOD OF TWENTY YEARS.
